1. Acceptance of Terms
By accessing or using VylintShield's compliance documentation and readiness platform and related services (collectively, the “Service”), you (“User” or “you”) agree to be bound by these Terms of Service (“Terms”). If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, do not use the Service.
2. Service Description
VylintShield provides a cloud-based compliance documentation and audit-readiness platform that helps organizations prepare the documentation required for SOC 2, ISO 27001, HIPAA, and other regulatory frameworks. The Service includes:
- Automated compliance documentation and policy template generation
- Continuous control monitoring and evidence collection
- Policy and procedure management
- Vendor and risk management tools
- Audit readiness dashboards and reports
- Integrations with third-party infrastructure and security tools
IMPORTANT — DOCUMENT CREATION ONLY; NO CERTIFICATION SERVICES: VylintShield creates and delivers compliance documentation and audit-readiness tools. VylintShield is not a certification body and does not perform, issue, or confer any compliance certification. Achieving formal certification under SOC 2, ISO 27001, HIPAA, PCI-DSS, or any other regulatory framework requires engagement with an accredited, independent third-party assessor, auditor, or certification body. VylintShield does not provide that service.
VylintShield reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Accounts and Registration
3.1 Account Creation
To access the Service, you must create an account and provide accurate, complete information. You are responsible for keeping account information up to date.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately at security@vylintshield.com if you suspect unauthorized access to your account.
3.3 Authorized Users
Each subscription covers a defined number of authorized users as specified in your Order Form. You may not share login credentials between individuals.
4. User Responsibilities
You agree to:
- Use the Service only for lawful purposes and in compliance with all applicable laws and regulations;
- Provide accurate and complete information in connection with the Service;
- Not attempt to gain unauthorized access to any part of the Service or related systems;
- Not use the Service to store or transmit unlawful, harmful, defamatory, or infringing content;
- Not reverse-engineer, decompile, or attempt to derive source code from the Service;
- Not use the Service to benchmark or develop a competing product without our prior written consent.
5. Payment and Refund Policy
5.1 Fees
Access to the Service requires a paid subscription. Current pricing is available at vylintshield.com/pricing. All fees are in USD.
5.2 Billing
Subscriptions are billed monthly or annually, as selected. Annual subscriptions are billed upfront. Subscriptions auto-renew unless cancelled at least 30 days before renewal.
5.3 Payment Processing
Payments are processed by Stripe, a third-party payment processor. By providing payment information, you authorize VylintShield to charge your payment method through Stripe for all fees due. VylintShield does not store your raw payment card numbers; all payment data is handled by Stripe in accordance with its own terms and privacy policy.
5.4 Refunds — No Refunds After Questionnaire Completion
All sales are final once you have completed the compliance questionnaire.
Specifically:
- No refunds after questionnaire completion: Once you have paid your subscription fee and completed the compliance questionnaire in the platform, your compliance documentation has been generated and the service has been fully delivered. No refund will be issued from that point forward, regardless of whether you have downloaded the documents, submitted them to an auditor, initiated a certification process, or achieved certification. The completion of your questionnaire is the trigger point for delivery — the product has been provided.
- Monthly subscriptions: No refunds for partial months used.
- Annual subscriptions: No refunds are issued once the compliance questionnaire has been completed. If you cancel before completing the questionnaire, no refund is issued for the current billing period.
- Platform failure exception: If VylintShield’s platform experiences a confirmed technical failure that prevents your completed questionnaire from generating any documentation, you may contact support@vylintshield.com to request a re-generation of your documents. If VylintShield is unable to re-generate your documentation within a reasonable time due solely to a platform defect, VylintShield may, at its sole discretion, issue a pro-rata refund for the affected subscription period. This exception does not apply to user error, incomplete questionnaire responses, or third-party integration failures.
- VylintShield-initiated termination: If VylintShield terminates your account without cause before you have completed the questionnaire, you will receive a pro-rata refund for the unused portion of your prepaid term.
5.5 Price Changes
VylintShield may change subscription pricing with 30 days’ notice before your next renewal date. Continued use after the effective date constitutes acceptance of new pricing.
6. Intellectual Property
6.1 VylintShield IP
The Service, including all software, designs, text, algorithms, and documentation, is owned by VylintShield and protected by intellectual property laws. These Terms do not transfer any ownership rights to you.
6.2 Your Content
You retain ownership of all data, content, and information you submit to the Service (“Your Content”). You grant VylintShield a limited license to host, process, and display Your Content solely to provide the Service to you.
6.3 Feedback
You may choose to submit ideas, suggestions, or feedback about the Service. By doing so, you grant VylintShield a perpetual, royalty-free license to use that feedback without restriction or obligation to you.
7. Third-Party Integrations
The Service may integrate with third-party services (e.g., AWS, GitHub, Jira, Slack). Your use of those integrations is subject to the applicable third-party terms. VylintShield is not responsible for third-party services, their availability, or data practices. Stripe is VylintShield’s payment processor; Stripe’s terms and privacy policy govern all payment transactions.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, VYLINTSHIELD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
VYLINTSHIELD DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR SPECIFIC COMPLIANCE REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; OR (C) ANY DEFECTS WILL BE CORRECTED.
CERTIFICATION DISCLAIMER: USE OF THE SERVICE DOES NOT GUARANTEE PASSING A COMPLIANCE AUDIT OR ACHIEVING ANY COMPLIANCE CERTIFICATION. VYLINTSHIELD IS NOT A CERTIFICATION BODY. VYLINTSHIELD DOES NOT GRANT, ISSUE, OR CONFER CERTIFICATION UNDER SOC 2, ISO 27001, HIPAA, PCI-DSS, OR ANY OTHER REGULATORY FRAMEWORK. FORMAL CERTIFICATION REQUIRES AN INDEPENDENT ASSESSMENT BY AN ACCREDITED THIRD-PARTY CERTIFICATION BODY OR AUDIT FIRM SELECTED AND ENGAGED BY YOU. VYLINTSHIELD’S SOLE OBLIGATION IS TO PROVIDE COMPLIANCE DOCUMENTATION AND READINESS TOOLS; THE IMPLEMENTATION, EXECUTION, AND OUTCOME OF ANY CERTIFICATION PROCESS IS ENTIRELY YOUR RESPONSIBILITY.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- VYLINTSHIELD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
- VYLINTSHIELD WILL NOT BE LIABLE FOR ANY CLAIM ARISING FROM YOUR FAILURE TO ACHIEVE, MAINTAIN, PASS, OR RETAIN ANY COMPLIANCE CERTIFICATION, AUDIT RESULT, OR REGULATORY APPROVAL, REGARDLESS OF WHETHER YOU USE OR HAVE USED THE SERVICE.
- VYLINTSHIELD’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATION OF LIABILITY EXCLUSIONS; IN SUCH CASES, THESE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Indemnification
You agree to indemnify and hold harmless VylintShield and its officers, directors, employees, and agents from any claims, damages, losses, and costs (including reasonable attorneys’ fees) arising from: (a) your use of the Service in violation of these Terms; (b) Your Content; (c) your violation of any third-party rights; or (d) any claim by you or any third party that VylintShield was responsible for your failure to achieve, maintain, or pass any compliance certification, audit result, or regulatory approval.
11. Compliance Responsibility
You acknowledge and expressly agree that:
- VylintShield’s Service is limited to the creation and delivery of compliance documentation and readiness tools.
- VylintShield does not perform compliance audits, issue certifications, or act as a certification body.
- Achieving formal compliance certification is entirely your responsibility and requires you to engage an independent, accredited third-party assessor or certification body at your own cost.
- VylintShield makes no guarantee, representation, or warranty that your use of the Service will result in you achieving, passing, or maintaining any compliance certification.
- Your failure to achieve, maintain, or pass any compliance certification does not constitute a failure of VylintShield’s Service, and you waive any claim against VylintShield based on such failure.
12. Termination
12.1 By You
You may cancel your subscription at any time from your account settings or by contacting support@vylintshield.com. Cancellation takes effect at the end of the current billing period. No refunds are issued for compliance documentation already generated or delivered.
12.2 By VylintShield
We may suspend or terminate your access if you: (a) materially breach these Terms and fail to cure within 30 days of notice; (b) fail to pay fees after 15 days’ notice; or (c) engage in conduct that poses a security risk or legal liability to VylintShield or other users.
12.3 Effect of Termination
Upon termination, your access to the Service ends. Sections 6.1, 8, 9, 10, 11, and 14 survive termination.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming without regard to conflict-of-law rules. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts in Cheyenne, Wyoming.
14. General
14.1 Entire Agreement
These Terms, together with any executed Order Form and our Privacy Policy, constitute the entire agreement between you and VylintShield regarding the Service.
14.2 Changes to Terms
VylintShield may update these Terms with 30 days’ notice (by email or in-app notification). Continued use after the effective date constitutes acceptance.
14.3 Severability
If any provision is held invalid or unenforceable, the remainder of the Terms continues in full force.
14.4 No Waiver
Failure to enforce any right under these Terms is not a waiver of that right.
